These Terms govern use of Counsels Desktop Sync by authorized customer organizations and their authorized users.
1. Agreement and licence
MisterEtec grants the customer a limited, non-exclusive, non-transferable, revocable right to install and use Counsels Desktop Sync solely for the customer's internal, authorized synchronization of the customer's own approved content. The applicable customer order, service agreement, or tenant authorization may include additional terms. If those terms conflict with these Terms, the written customer agreement controls to the extent of the conflict.
2. Authorized use
You must use the product only through an authorized account, device pairing, sync root, and permissions provided by the customer organization. You are responsible for protecting your device, authentication credentials, and local files. Do not share tokens, bypass access controls, interfere with the service, reverse engineer except where law cannot exclude it, or use the product for unlawful, infringing, malicious, or unauthorized activity.
3. Customer content and responsibility
Customer organizations retain their rights in their content. They are responsible for having the authority to upload, download, synchronize, restore, or recycle content and for setting their user permissions and retention requirements. MisterEtec does not obtain ownership of customer content by providing the service.
4. Sync and user control
Synchronization is limited to content and operations authorized by the product, customer configuration, and user action. File hashes provide identity and integrity evidence; they do not grant authorization. Users must review the relevant operation and any conflict, recovery, or recycle result before relying on it.
5. Privacy and data processing
Our processing of personal data is described in the Privacy Policy and, for customer content, the Data Processing Addendum.
6. Availability, updates, and support
We may update the product to maintain security, compatibility, or functionality. We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Customers should maintain their own business continuity and backup arrangements appropriate to their requirements. Support is available as described on the Support page.
7. Intellectual property
MisterEtec and its licensors retain all rights in the product, software, documentation, and branding that are not expressly granted to the customer. Feedback may be used to improve the product without creating a payment obligation, provided we do not identify the sender without permission.
8. Disclaimers and limitation of liability
To the maximum extent permitted by law, the product is provided on an "as available" basis. MisterEtec does not provide legal advice and is not responsible for a customer's legal, regulatory, retention, evidentiary, or professional obligations. Nothing in these Terms excludes liability that cannot lawfully be excluded. Any further limitation or indemnity in a written customer agreement applies as stated there.
9. Suspension and termination
We may suspend access where reasonably necessary to protect the service, investigate misuse, comply with law, or address a security risk. On termination, use of the product must stop and customer content will be handled under the applicable customer agreement, retention requirements, and Privacy Policy.
10. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to mandatory law and any written customer agreement, courts in New Delhi, India have exclusive jurisdiction over disputes arising from these Terms.
