This Data Processing Addendum applies when a customer organization authorizes MisterEtec to process personal data in tenant content through Counsels Desktop Sync.
1. Roles and scope
The customer is the controller or Data Fiduciary for personal data in tenant content. MisterEtec is the processor or Data Processor. MisterEtec will process that data only to provide, secure, support, and maintain the contracted product, on the customer's documented instructions, unless law requires otherwise.
2. Processing details
Processing may include receiving, storing, organizing, transmitting, comparing, downloading, uploading, recovering, recycling, restoring, and deleting tenant content and associated sync metadata. The categories of data and individuals depend on what the customer authorizes for synchronization. The duration is the term of the applicable agreement plus any documented retention or legal requirement.
3. Confidentiality and security
MisterEtec will ensure that persons authorized to process tenant content are bound by confidentiality obligations and will implement technical and organizational measures appropriate to the risk. The customer remains responsible for its users, access permissions, endpoint security, and lawful instructions.
4. Subprocessors
MisterEtec may use a subprocessor only where appropriate contractual and data-protection safeguards apply. The current approach is described on the Subprocessors page. Customer-approved infrastructure may be used as directed by the customer.
5. Assistance and incidents
Taking account of the nature of processing, MisterEtec will provide reasonable assistance for data-subject requests, security incident assessment, and compliance information relevant to the service. If MisterEtec confirms an incident affecting tenant content, it will notify the customer without undue delay and provide available relevant information.
6. Return and deletion
At the end of the service, MisterEtec will return or delete tenant content in accordance with the customer's documented instructions, the applicable agreement, and law. Copies retained only for backup, recovery, security, or legal purposes remain protected and are deleted in accordance with the applicable retention process.
7. Audit information
On reasonable written request and subject to confidentiality, security, and operational safeguards, MisterEtec will provide information reasonably necessary to demonstrate compliance with this Addendum. Any onsite audit requires prior written agreement on scope, timing, cost, and security controls.
8. Precedence and contact
This Addendum supplements the applicable customer agreement. If there is a conflict on personal-data processing, the written customer agreement or a signed data-processing addendum controls to the extent required by law. Contact support@misteretec.com for a customer-specific agreement.
